Terms of Sale
The wholesale trading rules that apply in our online wholesale shop.

§1. General information
- These Terms of Sale (the "Terms") govern the sale of goods by NASEL SP. Z O.O., trading under the i8 Denim brand (the "Seller"), through this website as well as by e-mail, by telephone, at trade meetings and in showrooms.
- i8 Denim is a trading brand owned by NASEL SP. Z O.O..
- Sales are made exclusively under a B2B model, that is, to parties conducting business activity.
- These Terms do not apply to consumer sales within the meaning of art. 22¹ of the Polish Civil Code.
- Placing an order constitutes acceptance of these Terms.
§2. Definitions
- Seller — NASEL SP. Z O.O., trading under the i8 Denim brand.
- Buyer — a sole trader, legal person or organisational unit placing an order.
- Goods — denim apparel and products offered under the i8 Denim brand.
- Order — a purchase offer submitted by the Buyer.
- Contract — the contract of sale concluded between the Seller and the Buyer.
§3. Conclusion of the contract
- Information about Goods published on the website is not an offer within the meaning of the Civil Code, but an invitation to place an order.
- The Contract is concluded when the Seller confirms the order in writing or by e-mail, or when the Goods are dispatched.
- The Seller reserves the right to refuse an order in whole or in part without stating a reason.
§4. Prices
- All prices are quoted in PLN or EUR (as offered) and are net prices, excluding VAT.
- VAT is charged in accordance with applicable Polish and EU law.
- Prices exclude transport, customs duties, insurance and other additional charges unless agreed otherwise in writing.
§5. Minimum order quantity (MOQ)
- The Seller may set a minimum order value or a minimum order quantity (MOQ).
- Orders that do not meet the MOQ may be rejected or fulfilled on individually agreed terms.
§6. Payment terms
- Available payment methods: bank transfer, prepayment, and other forms agreed individually.
- Unless the parties agree otherwise, payment must be made before the Goods are dispatched.
- In the event of late payment the Seller may suspend order fulfilment, charge statutory interest for delay, and decline further cooperation until the amounts due are settled.
§7. Delivery
- Delivery dates are indicative.
- The Seller is not liable for delays caused by transport companies, customs procedures or fortuitous events.
- The risk of loss of or damage to the Goods passes to the Buyer when the Goods are handed over to the carrier, unless agreed otherwise.
§8. Inspection and claims
- The Buyer must inspect the Goods immediately upon receipt.
- Claims concerning shortages or visible defects must be submitted in writing within 3 business days of the delivery date.
- Claims concerning hidden defects must be submitted within 5 business days of their discovery.
- Failure to meet these deadlines results in the loss of the right to claim, and the Goods are deemed accepted without reservation.
§9. Returns
- Given the B2B nature of the sale, the Buyer has no right of withdrawal from the contract.
- Returns or exchanges are possible only where the Goods are defective, or with the prior written consent of the Seller.
- Made-to-order goods, private label collections and contract manufacturing are not returnable.
§10. Liability
- The liability of the Seller is limited to the value of the defective Goods.
- The Seller is not liable for lost profits, indirect damage, or interruptions to the business of the Buyer.
- Nothing in these Terms excludes liability whose exclusion is not permitted by law.
§11. Force majeure
The Seller is not liable for non-performance or delay caused by force majeure, including natural disasters, strikes, war, pandemics, decisions of public authorities, or supply chain disruption.
§12. Intellectual property
- All rights to the i8 Denim brand, including trade marks, designs, photographs and marketing materials, belong to NASEL SP. Z O.O..
- Using them without the written consent of the Seller is prohibited.
§13. Confidentiality
- Commercial information, price lists and terms of cooperation are confidential.
- The Buyer undertakes not to disclose them to third parties without the consent of the Seller.
§14. Governing law and jurisdiction
- These Terms are governed by Polish law.
- Any disputes shall be settled by the court having jurisdiction over the registered seat of NASEL SP. Z O.O..
§15. Final provisions
- The Seller reserves the right to amend these Terms.
- The version of the Terms in force on the date the order is placed applies.
- If any provision of these Terms proves invalid, the remaining provisions stay in force.
