§1. General information

1. These Terms of Sale (the "Terms") govern the sale of goods by NASEL SP. Z O.O., trading under the i8 Denim brand (the "Seller"), through this website as well as by e-mail, by telephone, at trade meetings and in showrooms.
2. i8 Denim is a trading brand owned by NASEL SP. Z O.O.
3. Sales are made exclusively under a B2B model, that is, to parties conducting business activity.
4. These Terms do not apply to consumer sales within the meaning of art. 22¹ of the Polish Civil Code.
5. Placing an order constitutes acceptance of these Terms.

§2. Definitions

1. Seller — NASEL SP. Z O.O., trading under the i8 Denim brand.
2. Buyer — a sole trader, legal person or organisational unit placing an order.
3. Goods — denim apparel and products offered under the i8 Denim brand.
4. Order — a purchase offer submitted by the Buyer.
5. Contract — the contract of sale concluded between the Seller and the Buyer.

§3. Conclusion of the contract

1. Information about Goods published on the website is not an offer within the meaning of the Civil Code, but an invitation to place an order.
2. The Contract is concluded when the Seller confirms the order in writing or by e-mail, or when the Goods are dispatched.
3. The Seller reserves the right to refuse an order in whole or in part without stating a reason.

§4. Prices

1. All prices are quoted in PLN or EUR (as offered) and are net prices, excluding VAT.
2. VAT is charged in accordance with applicable Polish and EU law.
3. Prices exclude customs duties, insurance and other additional charges unless agreed otherwise in writing. The cost of shipping is set out in § 7.

§5. Unit of sale

1. The Seller applies no minimum order value and no minimum number of lots. The smallest unit of sale is one lot (pack) with the composition stated on the product page.

§6. Payment terms

1. Available payment methods: bank transfer, prepayment, and other forms agreed individually.
2. Unless the parties agree otherwise, payment must be made before the Goods are dispatched.
3. In the event of late payment the Seller may suspend order fulfilment, charge statutory interest for delay, and decline further cooperation until the amounts due are settled.

§7. Delivery

1. Delivery dates are indicative.
2. For orders of fewer than 30 pieces the Seller adds a shipping charge of PLN 30 gross, or EUR 30 gross on orders in EUR, to the order; the amount includes VAT at the rate that applies to the order. For orders of 30 pieces or more, shipping is provided at no additional charge. The rule applies to deliveries in Poland and in the European Union.
3. The Seller is not liable for delays caused by transport companies, customs procedures or fortuitous events.
4. The risk of loss of or damage to the Goods passes to the Buyer when the Goods are handed over to the carrier, unless agreed otherwise.

§8. Inspection and claims

1. The Buyer must inspect the Goods immediately upon receipt.
2. Claims concerning shortages or visible defects must be submitted in writing within 3 business days of the delivery date.
3. Claims concerning hidden defects must be submitted within 5 business days of their discovery.
4. Failure to meet these deadlines results in the loss of the right to claim, and the Goods are deemed accepted without reservation.

§9. Returns

1. Given the B2B nature of the sale, the Buyer has no right of withdrawal from the contract.
2. Returns or exchanges are possible only where the Goods are defective, or with the prior written consent of the Seller.
3. Made-to-order goods, private label collections and contract manufacturing are not returnable.

§10. Liability

1. The liability of the Seller is limited to the value of the defective Goods.
2. The Seller is not liable for lost profits, indirect damage, or interruptions to the business of the Buyer.
3. Nothing in these Terms excludes liability whose exclusion is not permitted by law.

§11. Force majeure

§12. Intellectual property

1. All rights to the i8 Denim brand, including trade marks, designs, photographs and marketing materials, belong to NASEL SP. Z O.O.
2. Using them without the written consent of the Seller is prohibited.

§13. Confidentiality

1. Commercial information, price lists and terms of cooperation are confidential.
2. The Buyer undertakes not to disclose them to third parties without the consent of the Seller.

§14. Governing law and jurisdiction

1. These Terms are governed by Polish law.
2. Any disputes shall be settled by the court having jurisdiction over the registered seat of NASEL SP. Z O.O.

§15. Final provisions

1. The Seller reserves the right to amend these Terms.
2. The version of the Terms in force on the date the order is placed applies.
3. If any provision of these Terms proves invalid, the remaining provisions stay in force.
